User Agreement
This User Agreement (“Agreement”) is between You and Machine Business Directory for use of Machine Business Directory (https://machinebusinessdirectory.com) (the “Service”).
YOU SHOULD READ CAREFULLY AND UNDERSTAND THIS AGREEMENT.
YOUR SUBMISSION OF THE BUSINESS LISTING DATA AND THE AFFIRMATIVE ACTION OF CHECKING THE REQUIRED CONSENT CHECK-BOXES CONSTITUTES YOUR BINDING ACCEPTANCE OF THIS AGREEMENT (INCLUDING ALL POLICIES INCORPORATED HEREIN) ON YOUR BEHALF AND ON BEHALF OF THE BUSINESS ENTITY YOU REPRESENT, AND ALL ITS EMPLOYEES AND AGENTS.
YOU ARE SOLELY RESPONSIBLE AND LIABLE FOR YOUR NON-COMPLIANCE AND THE NON-COMPLIANCE OF YOUR EMPLOYEES OR AGENTS WITH THIS AGREEMENT. YOU FURTHER REPRESENT THAT YOU ARE AUTHORIZED TO ACCEPT THESE TERMS AND CONDITIONS. IF YOU CANNOT ACCEPT THIS AGREEMENT, PLEASE DO NOT USE THE SERVICE.
1. Service
Machine Business Directory (https://machinebusinessdirectory.com) (“the Service”) is a machine business and industrial equipment–related information and messaging platform, available online or via mobile application. The Service enables users to list and access machine industry business information, share that information, and receive updates, services, and offers related to the machinery and manufacturing industry. We have no obligation to provide support, maintenance, upgrades, modifications, or new releases to the Service under this Agreement.
2. Use of Service
a. Machine Business Directory grants You a limited right to use the Service for machine-related and lawful business purposes only.
b. Restrictions. Except as expressly authorized by Machine Business Directory in writing or otherwise enabled by Machine Business Directory:
i. You will not access the Service in a manner or through an interface not provided or authorized by Machine Business Directory, including but not limited to, any automated means (e.g., scripts or bots).
ii. You will not copy, reproduce, duplicate, sell, trace, resell or exploit the Service.
iii. You will not upload, transmit, post or share any content that violates third-party rights including but not limited to copyright, trademark, or proprietary rights.
iv. You will not modify, adapt, or hack the Service or imply association with it falsely.
v. You will not transmit any worms, viruses, or destructive code.
vi. You will not upload or share any harmful, unlawful, defamatory, obscene, hateful, or otherwise objectionable content.
vii. You will not use the Service to send spam, unsolicited promotions, or chain letters.
viii. You will not republish or syndicate content available on the Service without authorization.
ix. You will not attack, interfere with, or disrupt the Service or its network.
x. You will not attempt unauthorized access to Machine Business Directory servers or networks.
c. You are responsible for keeping Your contact information up to date. Machine Business Directory will not be responsible for information lost due to outdated contact details.
d. User Responsibility and Explicit Consent for Public PII. You are solely responsible for the creation, accuracy, and lawfulness of all content and activity associated with the data and information You provide to the Service, including text, files, graphics, videos, and links (“User Content”). By submitting any listing that includes Personally Identifiable Information (PII)—such as a contact person’s name, email, or phone number—You provide free, specific, informed, unconditional, and unambiguous consent, via clear affirmative action, for that PII to be processed and made publicly available on the directory for the specified purpose of business promotion, as detailed in the Privacy Statement. This user responsibility is without prejudice to Machine Business Directory’s mandatory legal obligations as a Data Fiduciary and/or intermediary to ensure the security of Your PII and to act diligently on valid notices concerning illegal content, as required by applicable law (including the DPDP Act and the Information Technology Act).
e. You acknowledge that Machine Business Directory has not reviewed and does not endorse content of all external sites linked to or from the Service. Linking is at Your own risk.
f. You authorize Machine Business Directory to obtain business-related data on Your behalf, confirming that You have the right to control and access such data.
g. You authorize Machine Business Directory to send You promotional content and offers through the Service.
3. Intellectual Property and Data
a. Machine Business Directory retains all rights, title, and interest in the Service and associated intellectual property. The content, design, and structure of the Service (“Service Content”) are proprietary. You may not reproduce or distribute Service Content without written permission.
b. User Content License and Right to Erasure. User Content remains Yours, but by posting it, You grant Machine Business Directory a worldwide, non-exclusive, transferable, sublicensable license to use, copy, modify, display, reformat, translate, distribute, and promote such content, subject to Your rights regarding Personal Data as detailed below and in Our Privacy Statement. The license automatically ends when You remove Your User Content from the Service, except for the limited purpose of retaining de-identified or aggregated data for service maintenance and analytics, and where retention is required by law.
Right to Erasure and License Revocation: If You submit a verifiable request for the deletion of Your entire submitted data, as described in Our Privacy Statement, the license granted herein shall be immediately revoked for all associated PII. We will remove Your PII (including Your name, email, and the link between Your content and Your identity) as detailed in the Privacy Statement. Due to the manual nature of our administrative process, we commit to completing verifiable deletion requests within the maximum timeframes required by applicable law (e.g., 30 days under GDPR; 45 days under CCPA). We reserve the right to retain copies of the content in an anonymized/de-identified form (i.e., data that cannot reasonably identify You) for historical, analytical, or service integrity purposes.
c. Feedback and suggestions become the property of Machine Business Directory. You agree that Machine Business Directory may use and share Feedback freely without obligation or compensation. To retain rights to any idea, do not submit it as Feedback.
d. Machine Business Directory respects intellectual property rights. Report any infringement in good faith via email requesting removal or restriction of infringing material.
4. Fees and Optional Services
a. Basic use of the Service is free. You are responsible for any third-party access or telecommunication charges. Machine Business Directory may offer subscription-based or optional services at additional cost, subject to applicable terms.
b. Unless stated otherwise, all fees for the Service are nonrefundable.
5. Disclaimers and Limitation of Liability
a. MACHINE BUSINESS DIRECTORY PROVIDES THE SERVICE “AS IS” WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. USE IS AT YOUR OWN RISK.
b. THE SERVICE MAY INCLUDE DATA FROM THIRD PARTIES. MACHINE BUSINESS DIRECTORY IS NOT RESPONSIBLE FOR THE ACCURACY OR RELIABILITY OF THIRD-PARTY CONTENT OR SERVICES. YOUR INTERACTIONS WITH THIRD PARTIES ARE AT YOUR OWN RISK.
c. LIMITATION OF LIABILITY: IN NO EVENT SHALL MACHINE BUSINESS DIRECTORY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES INCLUDING LOST PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TOTAL LIABILITY WILL NOT EXCEED THE LESSER OF (I) THE AMOUNT YOU PAID FOR A SUBSCRIPTION OR (II) INR 50.
6. Resolution of Disputes
a. Before initiating legal action, contact customer support for amicable resolution.
b. Jurisdiction: All disputes shall be subject to the exclusive jurisdiction of the courts in Palakkad, Kerala, India. Claims must be brought within one year of occurrence.
c. Attorney’s Fees: Machine Business Directory will be entitled to recover reasonable attorney’s fees and litigation costs in enforcing these Terms.
d. Injunctive Relief: Violations of these Terms entitle Machine Business Directory to seek injunctive relief without posting bond.
7. Termination
This Agreement remains effective until terminated by either You or Machine Business Directory. Machine Business Directory may terminate it upon breach or upon notice to You. Upon termination, You must cease using the Service.
8. General Terms
a. Applicable Law: This Agreement will be governed by the laws of India, as applied in the state of Kerala.
b. Severability and Waiver: If any term is unenforceable, the remainder will continue in full effect.
c. No Assignment: You may not assign this Agreement without prior written consent.
d. Machine Industry Laws: You shall comply with all relevant Indian industrial and machine manufacturing laws, including applicable safety and export regulations (“Machine Controls”).
e. Entire Agreement: This document constitutes the entire agreement between the parties.
f. Right to Modify: Machine Business Directory may modify this Agreement at any time, effective upon posting at https://machinebusinessdirectory.com/terms-of-service/. Continued use after updates constitutes acceptance.
